General Terms & Conditions

1. Scope of Services

These General Terms and Conditions govern all professional service transactions, consulting, and software solutions provided by D|ligence S.à r.l. (the "Service Provider").

2. Quotations and Orders

All service engagements are formalized through a signed Statement of Work (SOW) or a digital service order. Transactions are considered final once the SOW is countersigned by both parties.

3. Payment Terms

Invoices are payable within 30 days of the invoice date unless otherwise specified in the SOW. Late payments may incur interest charges in accordance with Luxembourgish law (Loi du 29 mars 2013).

4. Right of Withdrawal

For B2B services, the right of withdrawal is governed by the specific terms of the signed agreement. For B2C digital services, the user acknowledges that the right of withdrawal is waived once the service execution has begun with their express consent.

5. Intellectual Property

All intellectual property rights related to the Service Provider's pre-existing tools and methodologies remain the exclusive property of D|ligence S.à r.l.

6. Jurisdiction

Any disputes arising from transactions governed by these terms shall be subject to the exclusive jurisdiction of the Courts of Luxembourg City, Luxembourg.
